James Finucan, Ramsden Lawyers

James Finucan joined Ramsden Lawyers as Partner in early 2014, after 8 years of working in the corporate sector as in-house legal counsel for two ASX listed companies. Between 2006 and 2010, James was General Counsel and Company Secretary for City Pacific Limited an ASX 200 diversified financial services company whose core financial service products provided finance and investment opportunities targeting the residential and commercial property development sector.

From 2010 until March 2014, James held the position of Legal Counsel with an ASX listed international provider of renewable and remote energy that focused on development, ownership and operation of power generation, power transmission and waste-to-energy conversion projects.

James has negotiated and advised in respect to the construction and project delivery of power generation projects in the up to 100 megawatt market. In addition, James has provided commercially relevant and strategic advice on high value and complex power project agreements (including power purchase agreements, fuel supply and purchase contracts, fuel transportation agreements and tolling agreements) in respect to structuring, acquisition, finance, development and disposal.

James has provided advisory services to ASX listed company executives and management in respect to a wide variety of corporate, commercial, legislative interpretation and business operation related legal matters. Including Australian Securities Exchange Listing Rules obligations and corporate governance, debt capital raising (including a $375 million syndicated corporate debt facility) and equity capital raising (including an $85 million institutional share placement), managed investment and financial services advice, preparing product disclosure statements for managed investment schemes and company compliance with laws and regulations.

As General Counsel, James negotiated and advised client project teams in respect to acquisition of site and planning issues, construction finance, council and consultant liaison, general logistic coordination, put and call options, off-the-plan sale contracts and disclosure document drafting, construction contract negotiation and drafting for large scale property developments.

Through his extensive experience, James has developed a commercial and pragmatic approach to assisting his clients achieving their desired outcomes.
